GENERAL TERMS AND CONDITIONS OF SALE AND SUPPLY

These General Terms and Conditions govern the commercial relationships between DMR S.r.l. and its Clients and apply to all supplies, unless otherwise agreed in writing. They form an integral part of every commercial proposal, order, and order confirmation, and are designed to ensure transparency, clarity, and efficient service. The submission of an order implies full acceptance of the conditions set out herein. Therefore, the Client is invited to review them before proceeding. DMR S.r.l. reserves the right to make changes to price lists, products, and operational conditions without prior notice, except for any contractually agreed price lists with specific Clients. In case of unavailability, we may propose the supply of articles with equivalent technical and functional characteristics.

1) DELIVERY TIMES

  • Delivery times are to be considered as indicative and non-binding, as they are subject to variables related to the type of product requested and availability. Our Sales Office will agree and communicate the timing with the Client.
  • All deliveries are subject to the availability of the product at the time of the order. Any delays will not entitle the Client to any refund or compensation.
  • DMR S.r.l. cannot be held responsible for delays or non-delivery due to force majeure causes, including but not limited to strikes, interruptions or delays in transport services, fires, exceptional natural events, supply difficulties, pandemics, armed conflicts, or measures taken by the competent authorities.

2) SHIPPING

  • Unless otherwise agreed in writing, the goods are sold ex-works our premises.
  • Shipping costs will be charged to the Client based on the courier's charges.
  • If the Client opts for a pickup using their own courier (freight collect), DMR S.r.l. disclaims any responsibility for damage, loss, or theft occurring after the goods have been handed over to the carrier.
  • Standard shipping times for goods available for immediate delivery are 24-48 working hours from order confirmation; for bulky goods, the delivery time extends to 3-4 working days.

3) RETURNS/CLAIMS

  • The Client, as the Purchaser, is required to verify the conformity of the Products at the time of delivery/unloading at their premises or within a few days after delivery, and to communicate any defects, flaws, or discrepancies in writing, within 8 (eight) days from receipt of the goods. If no such communication is received within the indicated time frame, the Products will be considered definitively accepted as conforming, without any reservation.
  • Return requests must be submitted by email to global@dmrleanmanufacturing.it within 8 (eight) days of receipt of the goods. The Sales Office will contact the Client within 24 working hours from receipt of the request.
  • In case of DMR S.r.l.'s responsibility, we will arrange for the return at our expense and replace the defective products or issue a credit note.
  • In case of a mistake attributable to the Client (for example, ordering incorrect items or in the wrong quantity), if the claim is made within 8 days from the delivery date, returns will only be accepted for standard products, provided that the items are intact, unused, and returned in their original packaging. In such cases, the shipping costs will be borne by the Client (return "ex-works"). For customized or made-to-order products, no return right is provided. If the Client cancels or modifies an already confirmed order, the full price of the customized product will still be due. Any substitute supply will be handled with a new order. It will not be possible to return any "made-to-order" or "customized" items. Additionally, no form of "unsold goods return" is authorized for our resellers.
  • Any disputes concerning damaged pallets or packages must be immediately reported by the Client to the carrier at the time of delivery, with specific reservation noted on the delivery receipt, indicating the exact nature of the anomaly. In the absence of such annotation, claims for damages to the carrier will not be accepted.

4) PAYMENT DELAY

  • Invoice payments must be made within the terms and conditions established and made out to DMR S.r.l. In case of delayed payment, interest will be applied in accordance with Legislative Decree No. 231 of October 9, 2002, implementing Directive 2000/35/EC, with the addition of any credit recovery costs, if applicable. 
  • Failure to comply with payment terms authorizes us to cancel or suspend any pending orders.
  • In the case of a first instance of non-payment by the Client, DMR S.r.l. reserves the right to modify the previously agreed payment terms, requiring advance payment via bank transfer for all subsequent orders.
  • Cash on delivery payments are not accepted.

5) GRAPHICS AND CUSTOMIZATION

  • For customized graphics, DMR S.r.l. reserves the right to quantify and charge any related costs.
  • Before production begins, the graphic design will be submitted to the Client for final approval. This approval implies full acceptance of the layout. Once the graphic design is definitively confirmed by the Client, any modification requests will only be accepted with an additional charge if production has not yet started. If production has already begun, no modifications or returns will be allowed. In such cases, if the Client wishes a new version of the product with a modified graphic, a new order must be placed, which will not cancel or replace the ongoing order.
  • Reproduction, even partial, of drawings, codes, or images owned by DMR S.r.l. is not permitted without written authorization.

6) CONSIGNMENT

  • In accordance with specific agreements with certain Clients, DMR S.r.l. allows consignment of certain products to allow the Client to test their functionality. This consignment will only take place after the Client has returned the contractual document, which will be sent by DMR S.r.l. This document will clearly define the consignment timing, the products being tested, and the individuals involved in the process. If the signed document is not returned, consignment will not be initiated.

7) RESERVATION OF OWNERSHIP

  • In accordance with Article 1523 of the Civil Code, the goods supplied remain the property of DMR S.r.l. until full payment of the agreed price.

8) PRIVACY

  • In accordance with EU Regulation 2016/679 (GDPR), personal data provided will be processed in compliance with the applicable laws, for purposes related to order management, contract execution, and legal and fiscal obligations.

9) JURISDICTION

  • For any dispute related to the interpretation, execution, or termination of the supply contract, the Court of Chieti will have exclusive jurisdiction.
